1. General

The following Terms of Use (“Terms”) apply to all services (the “Services”, “product”) provided by Quorum Investments S.r.l. (“the Company”), through the mobile application Aluma Breath (“App”, “we” or “us”) or other delivery methods (the Website, the App and such content and products are collectively the “Product”)

These Terms are legally binding and govern your usage of our Services, accordingly you are advised to read them carefully.

1.1. Definitions

The terms "Aluma Breath," “we,” “us,” and “our” refer to Quorum Investments S.r.l., the legal entity that owns and operates the Aluma Breath app.

The terms "you", "your" or "yourself" refer to the user of the Services.

The term Device refers to the device which is used to access the Services including but not limited to computers, spatial computers, smart phones, tablets, headphones, wearable smart devices, speakers and lights.

The term Intellectual Property Rights means any and all intellectual property rights existing in any part of the world under applicable law, including without limitation patent law, copyright law, trade secret law, trademark law, unfair competition law, and any and all applications, renewals, extensions and restorations of such rights, now or hereafter in effect worldwide.

The term Content refers to any and all Aluma Breath and third-party editorial content, information, text, images, photos, videos, artwork, illustrations, graphic (art and electronic) images, audio, music, sounds, postings, messages, recommendations, comments, software, files, feedback, bug reports, or other protected materials and authored works of any kind that are utilised in the provision of the Services.

The term App Distributor refers to an app store or distribution platform (for example, Apple’s App Store, Google Play or the Amazon Appstore) where the App is made available.

1.2. Agreement to our Terms

By accessing and using our Services, whether on a free or Subscription basis, you acknowledge that you have read, understood and agree to comply with and be legally bound by these Terms.

If you do not agree to be legally bound by these Terms, you are not permitted to access or use the Services.

1.3. Privacy Policy

Please also refer to our Privacy Policy located at https://alumabreath.com/privacy for information on how we collect and use your personal information. By accessing and using our Services you acknowledge that you have read, understood and agree to be bound by our Privacy Policy.

“Your use of the App is also subject to our Privacy Policy. We do not intentionally collect or process health-related information unless explicitly provided by you for specific app features, as described in our Privacy Policy.”

If you do not accept our Privacy Policy, you are not permitted to access or use the Services.

1.4. Changes to our Terms

We reserve the right, in our sole discretion, to update or change these Terms at any time.

If we do so, we may notify you of any updates or changes by posting the updated Terms on our Site and updating the “Last Updated” date to indicate when the changes are effective. We may decide, at our sole discretion, to ask you to review the changes to the Terms the next time you access the Services. If you continue to use the Services after modification, you agree to abide by the modified Terms.

Due to the nature of our Services we reserve the right to change or discontinue part or all of the Services at any time and at our sole discretion, without notice.

1.5. General Rules for Use or Access

(a) By ordering, accessing, or using the Services, you agree to be bound by these Terms and all applicable laws and regulations. You may be asked to click “I agree” or similar to continue; doing so confirms your acceptance. If you do not agree, do not use the Services.

(b) Additional terms or policies may apply to certain features, promotions, or offerings (for example, platform-specific terms from your app store). Those additional terms are incorporated by reference and will govern where they conflict with these Terms.

(c) You are responsible for providing compatible devices, software, and reliable internet access to use the Services. Performance may vary based on your device and connection quality, and you are responsible for any internet or data charges.

1.6. Products and Services

The Services provide access to audio and video-based breathwork, yoga, and sound-based practices, including live or pre-recorded sessions led by practitioners and music producers. The Services and Content are offered solely for general wellness and educational purposes. Aluma Breath does not provide medical, psychological, therapeutic, or crisis services, and the Services do not include coaching, psychotherapy, or psychiatry. No provider–patient relationship is created through your use of the Services.

2. Conditions of Use

2.1. Eligibility

To purchase the Services, you must be the greater of either: (i) 18 years of age, or (ii) the age of majority in your province, territory or country; and have the legal capacity to form a binding contract with Aluma Breath.

If you are under the age of 18, or the applicable age of majority in your province, territory or country, or do not have the legal capacity to form a binding contract with Aluma Breath, you may utilise the Services only with the involvement and consent of a parent or legal guardian, through their account and subject to their acceptance of these Terms as well as responsibility and liability for your access and use of the Services and Content in compliance with these Terms.

2.2. Account Registration

(a) Certain features of the Services may require an account. You may create an account directly in the App or via third-party sign-in (e.g., Apple or Google). If you use a third-party sign-in, that provider’s terms and policies also apply. To create an account, you must provide accurate and up-to-date information (for example, a valid email) and keep your credentials confidential. You are responsible for all activity that occurs under your account and on your Device. Please notify us promptly of any unauthorised use at info@quoruminv.com.

(b) By creating an account, you represent and warrant that you meet the Eligibility requirements in Section 2.1 of these Terms and that the information you provide is truthful, accurate, and current, and that you will maintain it accordingly.

(c) Non-transferability. Accounts and Subscriptions are personal to you and may not be sold, transferred, shared, or exchanged. This clause does not limit any family-sharing features expressly provided by your App Distributor (if available).

(d) Account deletion. You may request to delete your account at any time from within the App (where available) or via your distributor account page (for example, Apple’s App Store, Google Play or the Amazon Appstore).

Deleting your account terminates access to the Services. Refunds, if any, are handled by your App Distributor per Section 3.7 (Refunds). For information about how we handle your personal data and deletion requests, see our Privacy Policy.

2.3. Restricted Usage

If you choose to access or use the Site, App, Services or Content in any jurisdiction, you are responsible for compliance with the applicable local laws relating to the use of or otherwise connected with the Site, App, Services and Content in that jurisdiction. To the extent that the Site, App, Services and Content would infringe the laws of the jurisdiction from which you are accessing them, you are prohibited from accessing or using the same. This provision shall apply notwithstanding any other provision of the Terms.

You agree not to use the Services for any purposes related to scientific research, analysis or evaluation of the Services without the express prior written consent of Aluma Breath.

You are strongly advised not to use the Services while operating heavy machinery, driving, flying or performing any activity or task that, with due regard to the safety of yourself and others, requires your attention and concentration.

2.4. Changes to the Provision of Services and Content

Aluma Breath reserves the right at any time to change, modify or discontinue the Services and Content, in whole or in part, with or without notice to you. You acknowledge and agree that Aluma Breath will not be responsible or liable, directly or indirectly, to you or any other person for any loss, damage or injury of any kind incurred as a result of, or in connection with, any changes, modifications or discontinuance to the Services and/or Content.

2.5. Future Functionality

You acknowledge and agree that your use and access of the Services are in no way contingent on the delivery of any future functionality or features; or dependent on any oral or written comments made by Aluma Breath.

2.6. Data Charges

Certain functions of our Services require your Device to have an active internet connection. The connection can be Wi-Fi or provided by your mobile network provider.

If you are accessing or using the Services outside of an area with Wi-Fi, you should remember that your agreed terms with your mobile network provider will apply. As a result, you may be charged by your mobile provider for the cost of data for the duration of the connection while accessing or using the Services, or other third-party charges. In accessing or using the Services, you acknowledge and accept responsibility for any such charges, including roaming data charges if you access or use the Services outside of your designated home region, territory or country without turning off data roaming. If you are not the bill payer for the Device on which you are accessing or using the Services you must receive advance permission from the bill payer before incurring any charges in your access or use of the Services.

3. Subscriptions

Full access and use of certain premium Content and features of Aluma Breath's Services may require a subscription which you can purchase as either a monthly, annual subscription (Subscription), and may be charged in advance or periodically.

Your Subscription payment will be charged through your App Distributor and You agree to their respective billing policies.

Upon purchase of a Subscription, you agree not to hold Us responsible for any and all additional fees and charges that your App Distributor, bank or other financial service provider may charge due to payment, as well as any applicable taxes.

Prices and any applicable taxes are set and displayed by your App Distributor based on your billing country. Aluma Breath is not responsible for bank or currency conversion fees

Our obligation to commence provision of the Services only comes into effect once we have received confirmation of your purchase from your App Distributor. You will only have access to Aluma Breath’s premium Content and features while your Subscription is active and subsisting.

Aluma Breath will not be held responsible or liable for whatever reason should your Subscription fail to renew.

3.1. Monthly Subscriptions

Aluma Breath’s monthly Subscription is paid for in advance in monthly instalments and automatically renews each month until you choose to cancel your Subscription through your App Distributor.

If you do not wish your Subscription to renew you must cancel your Subscription at least 24 hours before it renews in order to avoid being charged for the next month’s Subscription fee. If you purchased your Subscription via an App Distributor, you must cancel the renewal of your Subscription through your App Distributor in accordance with their applicable terms and conditions.

Upon cancellation, you will continue to receive access to and use of the Services until the end of your current Subscription period. Refunds or credits cannot be claimed for any unused partial-month Subscription period.

3.2. Annual Subscriptions

Aluma Breath's annual Subscription is paid for in advance and automatically renewals on an annual basis.

If you do not wish your Subscription to renew you must cancel your annual Subscription at least 24 hours before it renews in order to avoid billing of the renewal Subscription fee. If you purchased your Subscription via an App Distributor, you should cancel the renewal of your Subscription through your App Distributor in accordance with their applicable terms and conditions.

Upon cancellation, you will continue to receive access to and use of the Services until the end of your current Subscription period. Refunds or credits cannot be claimed for any partial unused Subscription period.

3.3. Payment Terms (App Stores)

(a) Billing via App Distributors. Subscriptions and in-app purchases are billed and collected by your App Distributor (e.g., Apple App Store or Google Play). Prices, taxes, and billing cycles are set and displayed by your App Distributor for your billing country. Aluma Breath does not receive or store your full payment details. Your purchase is also subject to your App Distributor’s terms and policies.

(b) Pricing & Taxes. The price for each plan (and any applicable taxes, duties, or fees) will be shown at checkout by your App Distributor. Currency conversion and bank fees (if any) are your responsibility.

(c) Renewals & Failed Payments. Your Subscription renews on the calendar date corresponding to your original purchase date unless you cancel at least 24 hours before renewal (see Sections 3.1–3.2). If your App Distributor cannot charge your payment method, access to premium features may be suspended until billing is restored.

(d) Refunds. Aluma Breath does not provide refunds for purchases made through App Distributors. Refunds (if available) are handled solely under the App Distributor’s refund policies. See Section 3.7.

(e) Promotional Codes. From time to time, we may offer promotional codes managed through a third-party promotion and subscription management provider (e.g., a third-party promotion and subscription management provider). These codes are ultimately redeemed through your App Distributor and are subject to Section 3.6 and your App Distributor’s rules.

(f) No Benefit Sponsors. Aluma Breath does not accept payment via employers, health plans, or benefit sponsors. Coverage or reimbursement by any third party does not apply.

(g) Service Availability. We may change plan availability or pricing at any time (Section 3.4), but changes do not affect an already-active period you have paid for.

3.4. Subscription Changes

Aluma Breath reserves the right to change our Subscription availability, periodicity or adjust pricing for the Services or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion.

3.5. Free Trials

From time to time, Aluma Breath may offer new customers and eligible former customers the opportunity to access certain premium Content and features of Aluma Breath’s Services for free, for a time limited duration. The duration of the free trial period will be specified before sign-up and is intended to allow new customers and certain former customers to try the Services before deciding to purchase Membership.

Free trial eligibility is determined by Aluma Breath at its sole discretion and is limited to one free trial per user/account, device, or payment method.

You will be charged for a Aluma Breath Membership at the end of the free trial period unless you cancel the trial through your App Distributor at least 24 hours before the end of the free trial period.

3.6. Promotional Codes and Discounted Pricing

(a) From time to time, Aluma Breath may issue promotional or discount codes (each, a “Promo Code”) that reduce the price of a qualifying Subscription for a stated period. Promo Codes may be managed and validated through a third-party promotion and subscription management provider and are ultimately redeemed through your App Distributor (e.g., Apple App Store or Google Play). App Distributor rules and availability control redemption.

(b) Eligibility & Limits. Promo Codes may be limited to specific plans, regions, billing countries, user segments (e.g., new or lapsed subscribers), devices, or time periods. Unless expressly stated, Promo Codes are limited to one per user/account, payment method, and device and cannot be transferred, resold, or exchanged for cash.

(c) How Discounts Apply. The discount applies only to the specified Subscription Term and does not change your renewal price unless explicitly stated. After the discounted term ends, your Subscription auto-renews at the then-current standard price set by your App Distributor, unless you cancel at least 24 hours before renewal (see Sections 3.1–3.2).

(d) No Stacking / Retroactive Credits. Promo Codes cannot be combined with other offers, trials, credits, or discounted pricing, and cannot be applied retroactively to past purchases.

(e) Expiration & Quantity. Promo Codes may have stated expiration dates or limited quantities and may be withdrawn or modified at any time before redemption where permitted by law.

(f) Misuse & Revocation. We may reject, disable, or revoke any Promo Code, or suspend related Subscriptions, if we suspect fraud, ineligibility, violation of these Terms, or misuse (including unauthorised resale).

(g) Taxes & Billing. Prices and applicable taxes are determined and charged by your App Distributor. Bank/currency conversion fees (if any) are your responsibility (see Section 3).

(h) Conflicts. If any term in this Section conflicts with your App Distributor’s promotional-offer terms, the App Distributor’s terms prevail for redemption and billing.

3.7. Refunds

If you purchased your Subscription through an App Distributor, Aluma Breath will not provide a refund.

Any refund requests should be made to your App Distributor in accordance with their applicable terms and conditions. Your purchase will be subject to your App Distributor’s terms and conditions, which may not provide for refunds or may restrict refund eligibility.

4. Licence and Ownership

4.1. Licence

You acknowledge and agree that the Services are made available to you for your own personal and non-commercial purposes only.

You understand that in agreeing to and complying with these Terms and our Privacy Policy, Aluma Breath grants you a non-exclusive, revocable, non-transferable, non-sublicensable and limited licence to view and listen to the Content, and install a copy of the Aluma Breath App on a Device that you own or control, and to stream or temporarily cache Content for your personal, non-commercial use only.

Aluma Breath reserves all rights in and to the Services and the Content not expressly granted to you under these Terms.

4.2. Intellectual Property Rights

You acknowledge that Aluma Breath (Quorum Investments S.r.l.) or its affiliates and/or licensors own and reserve all right, title, and interest in and to the Services and the Content, including all software, source code, audio recordings, video, artwork, text, designs, know-how, and all associated Intellectual Property Rights, except for components owned by identified third parties.

Except for the limited licence in Section 4.1, no rights are granted to you by implication, estoppel, or otherwise. All Content is protected by copyright, trademark, design, database, and other applicable laws. You acquire no ownership interest, and you must not remove or alter any proprietary notices.

This protection extends to the look and feel of the App (including layout, selection, coordination, arrangement, and overall trade dress), compilations, and databases, including any sui generis database rights where applicable.

4.3. Restrictions

In acknowledgement of Aluma Breath's ownership of and Intellectual Property Rights in the Services and Content, you agree that you will not:

Copy, store, archive, reproduce, transmit, modify, alter, reverse-engineer, translate, adapt, emulate, de-compile, disassemble, or attempt to derive the source code of the Services or Content in any way, or create derivative works based on the Services or the Content, in whole or in part, of any nature whatsoever;
Record the Services or any Content (including audio or video sessions).
Use the Services (or any part of them) to create any tool or software product that can be used to create software applications of any nature whatsoever;
Upload, post, email or otherwise send or transmit or introduce any material that contains software viruses or any other computer code, files or programs designed to interrupt, harm, damage, destroy or limit the functionality of any computer software or hardware or equipment linked directly or indirectly with the Products or Services;
Rent, lease, loan, publish, broadcast, circulate, make available to the public, exploit, sell or distribute the Services or Content in whole or in part;
Use the Products or Services for any purposes related to scientific research, analysis or evaluation of the Services without the express written consent by the Company;
Tamper with or manipulate in any way the Services, or circumvent any technology used by Aluma Breath to protect any Content accessible through the Services;
Circumvent any territorial restrictions applied to the Services and Content;
Use any data mining, data gathering or data extraction methods;
Interfere with, disrupt or create an undue burden on the Services of the networks connected to the Services;
Copy, mimic, or reproduce the App’s user interface, workflows, or visual design (the “look & feel”) to build or enhance a competing product;
Benchmark, analyze, or otherwise use the Services to create derivative datasets, train machine learning models, or develop products that are substantially similar in function, UX, or content;
Frame, mirror, or otherwise display the Services or Content within another service without prior written consent;
Use the Services in a way that violates these Terms; or
Assist or permit any third-party to contravene any of the aforementioned prohibited acts.

Aluma Breath will enforce its Intellectual Property Rights to the fullest extent of the law, including but not limited to bringing civil or criminal legal proceedings.

4.5 Trademarks.

“Aluma Breath,” related names, logos, and trade dress are trademarks of Aluma Breath or its licensors. You may not use them without prior written permission.

5. Breach of Terms

We may, if we believe (in our sole discretion) that you have breached these Terms or that your use poses a risk to us, other users, or third parties (including for non-payment, suspected fraud, unlawful activity, or misuse), suspend or terminate your access to the Services with or without notice, including immediate revocation of your licence, deactivation of your account, and cancellation of your Subscription. No refunds will be provided for the then-current billing period except where required by applicable law. We may preserve or disclose account information if we believe it is reasonably necessary to comply with law or legal process. Upon termination, your rights under these Terms cease and you must stop using and delete the App. Sections relating to intellectual property, disclaimers, limitations of liability, indemnity, dispute resolution, and governing law survive termination.

6. Cancelling Membership

6.1. Cancellation By Us

We may suspend or terminate your use of the Products and/or Services as a result of your fraud or breach of any obligation under these Terms. A breach of these Terms, includes without limitation, the unauthorized copying or download of our audio or video content from the Products or Services or recording of the Services. Such termination or suspension may be immediate and without notice. See Section 5 (Breach of Terms; Suspension/Termination) for further information.

6.2. Cancellation By You

(a) You may cancel your Subscription at any time. Cancellation of a monthly Subscription is effective at the end of the applicable monthly period and cancellation of an annual Subscription is effective at the end of the applicable annual period. Please make any such cancellation via your App Distributor (e.g., Apple App Store or Google Play), you can manage or cancel auto-renewal in that distributor’s account subscription settings; such purchases are subject to the distributor’s terms.

7. Warranty Disclaimer

7.1. General Disclaimer

The Services and Content are provided “as is” and “as available.” To the fullest extent permitted by law, Aluma Breath disclaims all warranties, terms, conditions, and representations, express, implied, or statutory, including merchantability, fitness for a particular purpose, title, accuracy, and non-infringement.

We do not warrant that the Services or Content will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components, or that defects will be corrected, or that they will be compatible with your Device. Quality and availability may vary by Device, location, bandwidth, and other factors; any reliance is at your own risk.

Access may be suspended or limited from time to time for maintenance, updates, or the introduction of new features, content, or versions. We may change, update, or discontinue any feature or component at any time (including automatic updates) without notice. We are not liable if the Services are unavailable for a commercially reasonable period.

; we will review and, where appropriate, seek to address it. Nothing in this Section affects rights that cannot be excluded under applicable law.

7.2. Health Disclaimer

You acknowledge and agree that Aluma Breath’s Services are not intended or designed to prevent, treat or diagnose any condition, illness or disease, nor should Aluma Breath’s Services be considered, in whole or in part, express or implied to contain or constitute medical or psychological advice.

Any advice or other materials contained in the Services are intended for general information purposes only. Aluma Breath makes no guarantees that the Services provide a physical, mental or therapeutic health benefit and does not purport to give medical advice. The Services are not a substitute for professional medical or psychological advice or treatment based on your personal circumstances. You should seek the advice of your medical physician, doctor or other qualified healthcare provider if you have any concerns that using the Services will detrimentally impact your physical or mental health and wellbeing. You acknowledge that Aluma Breath has advised you of the necessity of doing so.

Aluma Breath disclaims any responsibility for any harm resulting from your viewing of the Content and use of the Services and does not guarantee that you will receive any benefit from your use of the Services. You understand and agree that you view the Content and use the Services at your own discretion and risk.

7.3. Third Party Products & Services Disclaimer

Through Aluma Breath’s Services we may provide you information regarding products or services offered by third parties. All third-party product or service information is provided for your convenience, “as is” and “as available” and we do not represent, warrant or guarantee that such third-party information will be available, accurate or reliable, or that it will not infringe the rights of third parties.

Aluma Breath does not warrant, represent, endorse, enforce, guarantee or assume responsibility for any third-party product or service information through, or in connection with, the Services and we will not be a party to, or in any way monitor any transaction between you and third-party providers of such product or services. Any such dealings are solely between you and the third-party. You agree that Aluma Breath will not be responsible for any loss or damage incurred as the result of any such dealings or with respect to any third-party’s use or disclosure of your personal information that you make available to them. If there is a dispute between you and any third-party, we are under no obligation to become involved and you agree not to involve Aluma Breath. For terms governing your use of third-party services and integrations, see Section 8 (Third-Party Services, Integrations & Links).

7.4. No Medical or Therapeutic Services

Aluma Breath does not provide medical, psychological, or therapeutic services. The App and its Content are intended solely for general wellness purposes.

Any breathwork, yoga, or sound therapy sessions offered through the App are delivered by practitioners whom are not acting in the capacity of licensed medical or mental health professionals.

Aluma Breath is not a healthcare provider and does not engage in the practice of medicine, psychology, or any other licensed profession.

You acknowledge that the App is a digital wellness platform, not a substitute for professional diagnosis, treatment, or therapy.

7.5. Emergency & Crisis Support

Aluma Breath is not intended for use in medical or mental health emergencies and does not provide crisis intervention. If you are experiencing an emergency or believe you may harm yourself or others, do not use the App. Call your local emergency number or go to the nearest emergency department immediately.

EU / UK: call 112 (EU) or 999 (UK).

US: call 911 or, for suicidal thoughts or self-harm, call or text 988 (Suicide & Crisis Lifeline).

If you are outside these regions, contact your local emergency services or crisis hotline.

7.6 Assumption of Risk

You acknowledge that breathwork, yoga, immersive audio, and Services provided may involve inherent risks, including dizziness, light-headedness, changes in breathing or heart rate, muscular strain, emotional discomfort, and similar effects. To the extent permitted by applicable law, you accept and assume these risks when using the Services. You are responsible for deciding whether and how to participate and for exercising reasonable care during any session (including modifying or stopping if anything feels uncomfortable). Use the Services only in a safe environment and never while driving, operating machinery, or performing tasks that require full attention.

You should consult a qualified healthcare professional before using the Services if you are pregnant, have a cardiovascular, respiratory, neurological, psychiatric, or musculoskeletal condition, or any other condition that may be affected by breathing practices, movement, or immersive sound. If at any time you experience discomfort or adverse effects, stop using the App immediately and seek medical advice.

7.7 Practice-Specific Risks (Breathwork, Yoga, Sound)

Breathwork. Certain techniques can induce tingling, dizziness, or hyperventilation. Practice seated or lying down as appropriate and never while driving or operating machinery (see Section 2.2).

Yoga / Movement. Movement and stretching can cause strain or injury if performed improperly or beyond your limits. Modify or skip any posture as needed and ensure you have a clear, safe space.

Sound / Audio Immersion. Extended exposure to high volumes may affect hearing; adjust device volume to a safe level and be mindful of headphone use.

Environment. Ensure your practice area is safe and suitable (e.g., unobstructed floor, appropriate mat/support).

These Services are for general wellness and educational purposes and are not medical or therapeutic services (see Sections 7.2 and 7.4). For emergencies or crisis support, see Section 7.5.

8. Third-Party Services, Integrations & Links

8.1 Third-Party Services

We may use third parties to provide or support parts of the Services (for example, App Distributors such as Apple App Store/Google Play, sign-in providers, promotion/subscription management providers, streaming/CDN, analytics, or crash reporting). When you use a third-party product or service, their terms and privacy policy govern your use of that third-party service. Where a conflict relates to that third-party service, the third-party terms control; these Terms continue to govern your use of Aluma Breath.

8.2 Integrations & Data Transfers

Some features may integrate with third-party services. To operate those features, we may share limited information with the applicable third party as described in our Privacy Policy. Third-party services are outside our control; to the fullest extent permitted by law, we are not responsible for their acts or omissions.

8.3 Links to Third-Party Sites

The Services may include links to third-party websites or services. Access is at your discretion and risk. We are not responsible for, their availability, content, products, services, privacy practices, or use.

8.4 Linking to Aluma Breath

9. Limitation of Liability

By agreeing to our Terms, you understand that you are solely responsible for your use of the Services. You acknowledge and agree that to the maximum extent permitted by law Aluma Breath assumes no liability or responsibility for any direct, indirect, special, exemplary, punitive, incidental or consequential damages or losses, including, but not limited to, lost profits, loss of data or goodwill, business interruption, service interruption, Device damage, system failure, the cost of substitute services or products; whether based on warranty, contract, tort (including negligence), product liability or any other legal theory; which arise directly or indirectly from:

Your use of, or inability to use, the Services;
Errors, mistakes or inaccuracies of the Content or Services;
Any unauthorised access to or use of our secure servers and/or the personal information (if any) stored therein;
Any interruption, suspension, or termination of the Content or the Services;
Any bugs or viruses, trojan horses, other harmful and malicious software or the like that may be transmitted to or through the Services that may in turn infect and damage your Device, computer equipment, software, data or other property, including via emails or attachments received from us;
Any issues or malfunctions in any of the features provided as part of the Services or Content, including, but not limited to, the alarm and timer functionality;
Any issues, malfunctions or damage to your Device that arise from constant and prolonged use of the Services; or
Any issues that arise as a result of the faulty operation of Devices during completion of a subscription or during the transmission of any data and/or for incorrect or overly slow transmission of data by the internet provider and/or any damage that occurs due to information submitted by you not being received by us or not being received promptly or not being considered, as a consequence of technical faults with our software or hardware (whether or not they are within or outside of our control).

Our total aggregate liability arising out of or in connection with these Terms or the Services will not exceed the amounts you paid to Aluma Breath for the Services in the twelve (12) months preceding the event giving rise to the claim.

The exclusion and limitations of liabilities detailed above are fundamental elements of the basis of the bargain between Aluma Breath and you. However, nothing in these Terms shall be interpreted or construed so as to limit or exclude liability that cannot be so limited or excluded under applicable law.

10. Service Disruptions

You acknowledge and agree that Aluma Breath will not be liable to you for any lack of performance, or the unavailability or failure, of the Services, or for any failure or delay by us to comply with these Terms, where such lack, unavailability or failure arises from any cause beyond our reasonable control.

11. Release & Indemnity

You agree to release, defend, indemnify, and hold harmless Aluma Breath, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

Your use of the App or its content;
Any injury, adverse reaction, or harm allegedly resulting from breathwork or audio sessions;
Your violation of these Terms or of any applicable law.
This clause shall remain in effect even after you stop using the App

12. Reviews, Comments & Submissions

If you send us ideas, feedback, suggestions, or materials (“Feedback”), you agree they are non-confidential and that we may use them freely for any purpose without compensation or obligation to you. You grant Aluma Breath a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable licence to use, reproduce, modify, and create derivative works from the Feedback. You confirm you own the rights in the Feedback and that it does not include personal or sensitive data or infringe others’ rights.

13. Dispute Resolution

13.1. Initial Resolution

You agree that all concerns, disputes or claims in relation to these Terms, the Content and the Services are to be raised in the first instance with Aluma Breath directly by contacting us at info@quoruminv.com. Both parties hereby agree to make all reasonable efforts to resolve any such dispute amicably and on an informal basis.

14. General

These Terms constitute the entire and exclusive understanding and agreement between Aluma Breath and you regarding the Services and Content.

Any failure or delay by Aluma Breath in enforcing any of the Terms shall not be construed as a waiver of any of our rights under it.

You may not transfer these Terms without our prior written consent. We may transfer or assign our rights under these Terms to another party if necessary, for example in the case of a business sale or restructuring.

15. Severability

If any provision or provisions of these Terms shall be held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such determination shall not affect the validity, legality and enforceability of the remaining provisions and they shall remain in full force and effect.

16. Governing Law & Jurisdiction

These Terms and any dispute, proceeding, or claim of any kind arising from or in connection with them shall be governed by and construed in accordance with the laws of Italy.

Any disputes (including non-contractual claims or disputes) arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Italy, with the Court of Verona being the designated competent court, unless otherwise required by applicable mandatory consumer protection laws.
